Possible MarineMax sale includes two of St. Maarten’s major marinas

GREAT BAY--The reported bidding process for global yacht retailer and marina operator MarineMax has direct significance for St. Maarten, where the company controls two major marina operations and a network of locally connected corporate entities through its subsidiary, IGY Marinas.

It was reported on Monday that investment firms Blackstone and Donerail Group are believed to be among the final bidders seeking to acquire MarineMax. Reuters previously reported that Centerbridge Partners is also participating in the final round of bidding, citing people familiar with the private discussions.

MarineMax, a publicly traded company listed on the New York Stock Exchange under the symbol HZO, operates more than 120 locations worldwide. Its business includes more than 70 yacht and boat dealerships, approximately 65 marina and storage locations, IGY Marinas, Fraser Yachts Group, Northrop & Johnson and several yacht manufacturing operations.

Although much of the international reporting has focused on MarineMax’s size, market value and United States operations, the company also has a substantial corporate and operational presence in St. Maarten.

Through IGY Marinas, MarineMax controls the operations of Simpson Bay Marina and Yacht Club Isle de Sol, two established facilities serving the regional and international yacht and superyacht sectors. IGY’s own corporate information identifies both St. Maarten marinas as part of its global network and confirms that IGY is a MarineMax subsidiary.

MarineMax’s 2025 filing with the United States Securities and Exchange Commission provides a broader view of the company’s St. Maarten interests. The filing lists several companies in which MarineMax has a controlling interest, including Pentagon Management N.V., Simpson Bay Yacht Club Marina N.V., Gem Pebbles N.V., IGY St. Maarten Holdings B.V., CMMC Corporation B.V., Hop-Inn Enterprises N.V., Yacht Club at Isle De Sol B.V. and Isle De Sol Development Corporation B.V.

The filing shows that several of these entities are connected through a chain of wholly owned subsidiaries. CMMC Corporation B.V. and Hop-Inn Enterprises N.V. are listed as wholly owned subsidiaries of IGY St. Maarten Holdings B.V., while Yacht Club at Isle De Sol B.V. and Isle De Sol Development Corporation B.V. are listed as wholly owned subsidiaries of Hop-Inn Enterprises N.V. Simpson Bay Yacht Club Marina N.V. and Gem Pebbles N.V. are listed as wholly owned subsidiaries of Pentagon Management N.V.

MarineMax’s corporate filings classify Simpson Bay Marina and Yacht Club Isle de Sol as operations held under third-party leases. This means the company controls the marina businesses and their leasehold interests, but the classification should not be interpreted as confirmation that MarineMax owns all of the underlying land outright.

Any acquisition of MarineMax as an entire company would ordinarily include its controlling interests in IGY Marinas, the St. Maarten marina operations and the related corporate entities. That could change only if particular assets are sold separately, excluded, restructured or transferred under the final transaction.

The identity and plans of a future owner could therefore have implications for St. Maarten, including future marina investments, management priorities, lease arrangements, employment, relationships with local suppliers and the broader development of the country’s marine sector.

Reuters reported that Donerail previously submitted an all-cash proposal valued at approximately $1.1 billion and later increased its offer. Blackstone, which has made major investments in the marina sector, and Centerbridge are reportedly competing in the final round. MarineMax had a market value of approximately $725 million when the latest report was published.

No final transaction has been announced. The parties have not publicly confirmed the reported final bidding process, and people familiar with the discussions have cautioned that a sale is not guaranteed.
